1. Who you are contracting with
The Service is provided by Saifullah Faizan, sole proprietor, trading as CA PRO Toolkit. That sole proprietorship is the contracting party under these Terms and is the person you are contracting with when you accept them. Wherever these Terms say "we", "us", or "our", they mean that entity, and no other person or company is a party to these Terms.

2. Acceptance of terms
These Terms & Conditions ("Terms") form an agreement between you and Saifullah Faizan, sole proprietor, trading as CA PRO Toolkit ("we", "us", "our"), governing your use of the CA PRO Toolkit Windows desktop application, browser extension, workspace and Web View, tool pages, and backend services (together, the "Service"). If you do not agree, do not use the Service.
3. The Service
CA PRO Toolkit helps Chartered Accountant firms organise and review audit, GST, TDS, notices, engagements, tasks, deadlines, and related work. The Service assists professional review and organisation. It does not file returns, submit anything to a government portal, scrape portals, or silently approve or close professional work.
4. Accounts, eligibility, and firms
- You must sign in with a valid account and are responsible for keeping your access secure.
- You must be authorised to use the Service on behalf of your firm and its clients.
- Firm owners and administrators control roles, membership, and access within a shared firm. Invite codes should be shared only with people you authorise.
- You are responsible for activity under your account and for the accuracy of data you enter.
5. Acceptable use
You agree not to:
- Use the Service unlawfully or in breach of an applicable regulation or professional obligation.
- Upload content you are not authorised to process or infringe the rights of a third party.
- Attempt to disrupt, reverse engineer, overload, or gain unauthorised access to the Service or its infrastructure.
- Misuse AI or OCR features or submit content without the necessary authority or consent.
6. Professional and AI disclaimer
The Service is a support tool, not a substitute for professional judgment. Outputs, including AI-assisted classifications, standard mappings, matches, and insights, are informational and may be incomplete or inaccurate. You remain responsible for verifying results, confirming facts, and making all professional conclusions, filings, and advice. Nothing in the Service constitutes legal, tax, accounting, or other professional advice.
7. Content and data
You retain ownership of the data and content you submit. You grant us the limited rights needed to operate the Service, such as storing, processing, and displaying your content to you and your authorised firm members. Our handling of personal data is described in the Privacy Policy.
8. Intellectual property
The Service, including its software, design, branding, and content excluding your data, is owned by us and protected by applicable laws. You receive a limited, non-exclusive, non-transferable right to use the Service under these Terms. You may not copy, resell, or create derivative products from the Service without permission.
9. Software licence and third-party components
Your right to install and run the CA PRO Toolkit software comes from the end-user licence, not from these Terms. That licence is published as LICENSE.txt beside the installed application, and the same text is held as the LICENSE file in the product source. It is proprietary and all rights are reserved: it grants a personal, non-exclusive, non-transferable, revocable right to use the compiled software for your own professional practice, and it does not permit redistribution, resale, rental, sublicensing, reverse engineering, or derivative works. Where the end-user licence and these Terms both address the scope of the software licence grant, the end-user licence governs that question.
The software also incorporates third-party components that are licensed separately by their own authors and not by us. Each such component, its version, its licence, and any attribution notice it requires are listed in THIRD-PARTY-NOTICES.txt, which ships beside the installed application and is regenerated whenever the dependencies change. Nothing in these Terms or in the end-user licence enlarges or narrows your rights in a third-party component beyond that component's own licence.
10. Third-party services
The Service relies on third parties such as Google Sign-In, email delivery, AI and OCR providers, and hosting providers. Your use of those features may also be subject to the relevant third party's terms. We are not responsible for third-party services outside our control.
11. Free access
The Service is offered free to use. There are no subscription fees or payment-conditioned product features in the current Service.
12. Availability and changes
We aim to keep the Service available and reliable, but availability is not guaranteed. We may modify, suspend, discontinue, or maintain features. We will not describe an unavailable or incomplete capability as completed.
13. Disclaimers and limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or professional consequences arising from your use of or reliance on the Service. Our total liability for a claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim, which may be zero for free use.
14. Indemnity
You agree to indemnify and hold us harmless from claims, losses, and expenses arising from your misuse of the Service, your content, or your breach of these Terms or an applicable law or professional obligation.
15. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or misuse the Service. Provisions that by their nature should survive termination will continue to apply.
16. Grievance redressal
If you have a complaint about the Service, about how your personal data has been handled, or about content shown to you through the Service, raise it with our grievance officer. A complaint is not treated as answered until it has been addressed on its substance.

- Designation: Proprietor. CA PRO Toolkit is a sole proprietorship, so the proprietor is the person who answers data-protection questions. The Digital Personal Data Protection Act, 2023 requires a Data Protection Officer only of a Significant Data Fiduciary, which this is not; section 13 otherwise requires a contactable person, and that is who is named here.

Response window. We commit to acknowledging a grievance and responding to it within 30 days of receiving it. We use 30 days because that is the window aligned with the grievance-redressal expectations of the Digital Personal Data Protection Act, 2023, and we apply the same window to grievances that are not about personal data so that there is one published timescale rather than several.
Please use this channel before starting proceedings under clause 17. Using it does not take away any right you have to approach a court, a consumer forum, or the Data Protection Board of India; it only gives us the opportunity to resolve the matter first. Complaints about personal data are also covered by the Privacy Policy.
17. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of India. The courts at Kolkata, India, have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
This clause is subject to the mandatory consumer-protection rights that may apply to you. If you are a consumer, nothing in this clause removes your right to bring proceedings in the forum that the applicable consumer-protection law permits, or to rely on a protection of the law of your place of residence where that law says you may.
18. Changes to these Terms
We may update these Terms from time to time. A material update will use a new version and effective date. When renewed acceptance is required, the Service will ask you to review and accept the updated Terms before continuing.
